Rebuilding a trans 'just because' is pretty silly IMO a 4L80e will last an extraordinary amount of time unless you tow with it a lot and let it get hot on a regular basis without ever changing the fluid in it. I'd definitely change the fluid but you probably don't need a rebuild if it's not...
Sounds like you need to do some digging as it could be almost anything under there. Trans issue? U joint issue? Something cause the pumpkin of the rear end to make contact with the bottom of the vehicle???

What lesterl said is correct. Another option is to delete the oil cooler lines. If you're interested let me know and I'll post a link of the info I used when doing this on my '95. If you do a lot of towing or hauling you wouldn't want to do this delete but if you just do normal everyday driving...
